Terms of Service

Plain English summary: Use the service fairly and legally. Don't spam your customers. Pay your bills. We can suspend accounts that violate these terms. You own your data.

1. Acceptance of terms

By creating an account or using livechat.bd ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, do not use the Service.

2. Description of the Service

Live Chat provides a unified customer messaging platform that allows businesses to connect multiple messaging channels (including website chat, Telegram, Facebook Messenger, Instagram and WhatsApp) and manage customer conversations from a single dashboard.

3. Account registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. Notify us immediately at security@livechat.bd if you suspect unauthorised access. You are responsible for all activity under your account. Each person must have their own login — sharing credentials between individuals is not permitted.

4. Acceptable use

You agree not to use the Service to:
  • Send spam, unsolicited messages or bulk marketing without consent
  • Harass, threaten or abuse any person
  • Transmit malware, viruses or malicious code
  • Violate any applicable law or regulation
  • Infringe intellectual property rights
  • Attempt to gain unauthorised access to any system
  • Resell, sublicense or white-label the Service without written permission
  • Reverse engineer or copy any part of the Service
  • Use the Service in a way that degrades performance for other users

5. Subscription plans and payment

The Service is offered on subscription plans (Free, Starter, Pro). Paid plans are billed monthly or annually in advance. Prices are shown on our pricing page and may change with 30 days notice to existing subscribers.

Payment is processed by Stripe. We do not store payment card details. Failed payments may result in service suspension after a grace period. Refunds are issued at our discretion for unused portions of annual plans; monthly plans are non-refundable.

6. Plan limits

Each plan includes limits on agents, monthly conversations and connected channels. If you exceed your plan limits, we may restrict new conversations or prompt you to upgrade. You are responsible for monitoring your usage.

7. Your content and data

You retain ownership of all content you and your customers transmit through the Service ("Your Content"). You grant us a limited licence to store, process and transmit Your Content solely to provide the Service.

You represent that you have the right to collect and process your customers' messages through the Service and that doing so complies with applicable privacy laws (including obtaining necessary consents).

8. Third-party platforms

Connecting third-party channels (Meta, Telegram, WhatsApp, etc.) is subject to the terms and policies of those platforms. We are not responsible for changes those platforms make to their APIs, webhooks or policies that affect the Service. We will make reasonable efforts to maintain integrations but cannot guarantee uninterrupted connectivity to third-party platforms.

9. Service availability

We target 99.5% monthly uptime for paid plans. Scheduled maintenance will be announced in advance where possible. We are not liable for downtime caused by third-party services, force majeure events, or circumstances beyond our reasonable control.

10. Intellectual property

The Service, including its design, code, trademarks and branding, is owned by Live Chat. Nothing in these Terms grants you any right in our intellectual property other than the right to use the Service as permitted here.

11. Termination

You may cancel your account at any time from your settings page. We may suspend or terminate accounts that violate these Terms, with or without notice depending on severity. Upon termination, your data will be deleted in accordance with our Privacy Policy. Free plan accounts inactive for more than 12 months may be deleted with 30 days email notice.

12. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, uninterrupted, or that it will meet your specific requirements.

13. Limitation of liability

To the maximum extent permitted by law, livechat.bd's total liability to you for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential or punitive damages.

14. Governing law

These Terms are governed by the laws of Bangladesh. Any disputes shall be resolved in the courts of Dhaka, Bangladesh, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

15. Changes to terms

We may modify these Terms at any time. For material changes, we will provide at least 14 days notice via email to registered users. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
